Terms & Conditions
SeoMation — Last updated: October 10, 2026
These Terms & Conditions ("Terms") govern your use of https://seomation.com (the "Website") and the services provided by SeoMation ("SeoMation", "we", "us"), an Ontario, Canada business, to you ("Client", "you"). By using the Website, booking a call, or signing a proposal or service agreement with us, you agree to these Terms.
If you sign a separate written proposal or service agreement with SeoMation, that document prevails over these Terms wherever the two conflict.
1. Services
SeoMation provides:
- AI workflow automation — design, build and maintenance of automated business workflows (for example lead intake, missed-call follow-up, appointment booking and reminders, CRM integrations, reporting).
- Local SEO and Google Business Profile services — for example Google Business Profile optimization, citation and listing management, NAP (name, address, phone) consistency, and local search recommendations.
The specific scope, deliverables, timeline and fees for each engagement are set out in a written proposal, quote or statement of work ("Proposal") accepted by you. Work outside the agreed scope is quoted and approved separately before it begins.
2. No Guarantee of Results
Search engine rankings, Google Maps visibility, website traffic, lead volume and revenue depend on factors outside our control, including search engine algorithms, competitors, your market, your reviews and your business operations. SeoMation does not guarantee any specific ranking, traffic, lead, conversion or revenue outcome. Any estimates or examples we share are for planning purposes only and are not promises of results.
Automation workflows depend on third-party platforms and services (see Section 8). We do not guarantee uninterrupted or error-free operation of those platforms.
3. Client Responsibilities
You agree to:
- Provide accurate and complete information, and timely access (accounts, permissions, content, approvals) reasonably required to perform the services.
- Ensure you have the right to give us access to the accounts, data and content you provide.
- Review and approve deliverables in a reasonable time. Delays on your side may delay delivery.
- Comply with laws that apply to your business and your use of the services, including laws on marketing, messaging and consent (see Section 9).
4. Fees and Payment
- Fees, billing frequency and currency are stated in your Proposal. Unless stated otherwise, all fees are in Canadian dollars (CAD) and exclude applicable taxes (such as HST/GST), which will be added where required.
- Payment due date. Monthly fees are invoiced in advance and are due no later than the 5th day of each month. One-time project fees are invoiced 50% on acceptance and 50% on completion, unless the Proposal says otherwise, and are due as stated on the invoice.
- Late payment. SeoMation does not charge late fees, interest or any other penalty for late payment. Instead, the following service-continuity policy applies to monthly services:
- First and second late payments: the Client has a grace period until the 10th day of the month to pay. If payment is not received by the 10th, SeoMation will suspend the services until payment is received.
- Third and any later late payment: no grace period applies. If payment has not been received by 11:59 PM (23:59) Eastern Time on the 5th, services are suspended from that moment until payment is received.
- Suspension may affect automations, bookings, messaging and other workflows that depend on the services. SeoMation is not responsible for losses resulting from a suspension caused by non-payment.
- Third-party costs (for example software subscriptions, SMS/voice usage, telephony, advertising spend, directory fees) are separate from our fees and are paid by you unless the Proposal states otherwise.
- Fees paid for work already performed are non-refundable. Prepaid fees for services not yet performed will be refunded or credited as set out in your Proposal.
5. Term and Cancellation
- Project work ends when the deliverables in the Proposal are completed and accepted.
- Monthly services continue until cancelled. Either party may cancel by giving at least 30 days' written notice (email is sufficient). You remain responsible for fees through the end of the notice period and for work already performed.
- We may suspend or end services immediately if you breach these Terms, fail to pay, or use the services unlawfully.
6. Intellectual Property
- Your materials. You keep ownership of your content, brand, data and account access ("Client Materials"). You grant us a limited licence to use them only to deliver the services.
- Deliverables. Upon full payment, you own the final deliverables created specifically for you (for example written content, configured business accounts), excluding the items below.
- Our tools. We keep ownership of our pre-existing and reusable methods, templates, workflow designs, code, prompts, documentation and know-how ("SeoMation Materials"). We grant you a non-exclusive licence to use them as part of the delivered solution for your own business.
- Third-party software and platforms remain subject to their own licences and terms.
7. Confidentiality and Data
- Each party will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law.
- We handle personal information in line with our Privacy Policy and applicable Canadian privacy law (including PIPEDA). You are responsible for having a lawful basis (including any required consent) for personal information about your own customers that you provide to us or that is collected through workflows we build for you.
- We use reasonable safeguards, but no system is completely secure. You are responsible for keeping your own account credentials secure.
8. Third-Party Platforms and Services
Our services may rely on or connect to third-party platforms (for example Google, CRM, scheduling, messaging, telephony and AI providers). These are governed by their own terms, pricing and policies, which can change without notice. We are not responsible for outages, policy changes, account suspensions, pricing changes or data loss caused by third parties.
9. Messaging, Calls and AI Use
Where workflows send emails, text messages or make calls (including AI-assisted communication), you are responsible for ensuring you have the consents and disclosures required by law, including Canada's Anti-Spam Legislation (CASL) and applicable telecommunications and privacy rules. AI-generated content and responses may contain errors; you are responsible for reviewing content before relying on it where accuracy matters.
10. Warranties and Limitation of Liability
- We will perform the services with reasonable skill and care. Except as stated in these Terms, the Website and services are provided "as is" without warranties of any kind, to the extent permitted by law.
- To the maximum extent permitted by law, SeoMation is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data, business or goodwill.
- Our total liability arising out of an engagement is limited to the fees you paid us for the services giving rise to the claim in the three (3) months before the event.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnity
You agree to indemnify SeoMation against third-party claims arising from Client Materials you provided, your unlawful use of the services, or your breach of these Terms.
12. Website Use
You agree not to misuse the Website (including attempting unauthorized access, scraping at a disruptive rate, or introducing malicious code). Website content is provided for general information and is not professional advice.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date shows the latest version. Changes apply to the Website on posting and to existing engagements from the next billing period or renewal, unless your Proposal says otherwise.
14. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The parties will first try to resolve any dispute in good faith. Any dispute not resolved will be brought in the courts of Ontario, which have exclusive jurisdiction.
15. General
These Terms (with your Proposal) are the entire agreement between us on their subject. If any part is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign your rights without our written consent. Neither party is liable for delays caused by events beyond its reasonable control.
